These terms apply to every app offered by DataAutomationPro ("we", "us") through this portal — including ERP, Mobile Shop ERP and My Account — and to demos, deployments and maintenance subscriptions. By creating an account, requesting a demo, or paying a setup fee or maintenance fee, you ("the client") agree to them.
1. Definitions
- App — a software product listed on this portal, including updates we release.
- Deployment — installing and configuring an App on the client's hosting under the client's domain.
- Setup fee — the one-time fee for a Deployment, as shown for the chosen plan or in a written quote.
- Maintenance subscription — the optional monthly or yearly service described in section 7.
- Hosting — the server, VPS or cloud account where the App runs: either the client's own, or one run by us under section 4a ("managed hosting").
2. Accounts
- You must give accurate details and keep your password secret. You are responsible for activity under your account.
- One person or business per account. Tell us promptly if you suspect unauthorised use.
- We may suspend accounts used for fraud, abuse, or to attack our systems or anyone else's.
3. Free demos
- A demo runs for 7 days on servers we provide, with sample data, for evaluation only.
- Demo data may be deleted at any time and is permanently removed when the demo ends. Do not enter confidential or real customer data.
- We may limit the number of demos per person or business, or decline a request without giving a reason.
4. Domain & hosting — client responsibilities
This section applies when the App runs on the client's own hosting. For managed hosting, see section 4a.
- The client provides and pays for the domain (or sub-domain) and, unless they choose managed hosting, the hosting, directly to their providers. These costs are not included in our prices.
- The hosting must meet the requirements listed on the App's page — typically a Linux VPS or cloud server with Docker support. Ordinary shared web hosting (cPanel/PHP hosting) cannot run our Apps. We check your hosting before you pay the setup fee.
- The client gives us the access we need to deploy (for example SSH access and DNS changes) through a secure channel we agree on. Never send passwords through the portal's forms or ordinary chat.
- The client stays responsible for renewing the domain and hosting on time. An App stops working if either expires; restoring it after a lapse may be charged as extra work.
- We may change access credentials we set up during deployment for security, and hand them over to you on request.
4a. Managed hosting
- Where the plan offers it, the client may ask us to provide and run the server. Each client gets a private server used only for their App; it is never shared with other clients.
- We choose a reputable provider and agree the region with the client (EU or North America). Operating-system updates, security patches, backups and uptime monitoring are included.
- Managed hosting is billed monthly in advance at the rate shown for the plan, together with the maintenance subscription, and requires an active maintenance subscription.
- The client still owns all data. When managed hosting ends we provide a full export of the data, or transfer the server to the client's own provider account, within 30 days.
- The client still provides and controls the domain name.
5. Deployment
- Deployment covers: installing the App, securing it with HTTPS, creating the first administrator account, basic configuration (company, branches, currency) and one live walkthrough session of up to 1 hour.
- Typical delivery is 3–7 business days after we receive the first payment and working hosting access. Delays caused by missing access, DNS or hosting problems extend this time.
- Not included unless quoted in writing: importing historical data, custom features, custom reports, integrations with other systems, and on-site training.
- The deployment is accepted when the App is reachable at the agreed domain and the administrator can log in. Please report problems within 7 days of go-live.
6. Setup fee & payment
- Prices are shown in the currency on the plan (usually US dollars). Payments from Bangladesh may be made in BDT at the exchange rate on the day of payment.
- The setup fee is paid 50% before work starts and 50% on go-live, unless a written quote says otherwise.
- Accepted methods are listed in your dashboard (for example bKash, Nagad, bank transfer, Wise, Payoneer). Transfer and gateway fees are paid by the client.
- A payment counts once we have confirmed it reached our account. Submit the transaction reference in your dashboard so we can match it.
- Prices on this portal may change; the price you accepted at ordering applies to that order.
7. Maintenance subscription
Every deployment includes 30 days of free support from go-live. After that, maintenance is optional and billed in advance, monthly or yearly. While it is active it includes:
- Updates and bug fixes to the App as we release them, installed by us.
- Security patches for the App and its runtime (Docker images, web server).
- Monitoring that automatic backups are running, and help restoring from a backup if needed.
- Renewal of the HTTPS certificate and help with App errors.
- Support by email and WhatsApp, during office hours (Saturday–Thursday, 10:00–19:00 (GMT+6)), with a target first response within one business day.
- Support and small configuration changes (for example adding a branch, user or tax rate) up to the support hours included in your plan each month, as shown on the pricing page. Unused hours don't carry over.
8. What maintenance does not include
- New features, custom modules, custom reports or design changes — quoted separately.
- Data entry, bookkeeping, or correcting data entered by your staff.
- Problems caused by your hosting provider, by changes made to the server by anyone other than us, or by expired domains or hosting.
- Hosting administration unrelated to the App, email hosting, or your other websites.
- Recovering data where backups were disabled, deleted or never set up on your instruction.
9. Non-payment & renewals
- Your dashboard shows when maintenance is due. We send a reminder before it ends.
- If maintenance is not renewed, updates and support stop at the end of the paid period. The App keeps working on your hosting, and your data stays yours.
- Some Apps check their license online. A license that has been suspended for non-payment of an agreed fee has a 7-day grace period and is then locked until payment is made. We will never delete your data because of non-payment.
- Rejoining maintenance after more than 60 days without it may require a catch-up update, quoted before any work.
10. License to use the software
- When the setup fee is paid in full, you receive a non-exclusive, non-transferable license to use the App for your own business, on the domain it was deployed to, within the limits of your plan (for example number of companies, branches or users).
- The software, its source code and design remain our property. You may not resell, sublicense, copy to other domains, or reverse-engineer it, or remove license checks.
- Using the App beyond your plan's limits requires an upgrade.
11. Your data
- All business data you enter belongs to you and is stored on your hosting. We access it only to deploy, maintain or support the App, or when you ask us to.
- You are responsible for the legality and accuracy of the data you store, including personal data about your customers and employees.
- On request we will export your data in a standard format (for example CSV or a database dump). An export outside an active maintenance subscription may be charged as extra work.
- How we handle the personal information you give us through this portal is described in our Privacy Policy.
12. Backups
We set up automatic database backups during deployment. Backups are stored on your hosting unless agreed otherwise. You should keep an additional copy off the server; we recommend downloading one at least monthly. Without an active maintenance subscription, checking that backups run is your responsibility.
13. Refunds
- Demos are free, so you can evaluate an App before paying.
- If we cannot deploy because your hosting cannot run the App and we failed to warn you, the full setup fee is refunded.
- If you cancel before deployment work starts, the setup fee is refunded minus transfer fees. After work starts, the first 50% is non-refundable.
- Maintenance and managed hosting fees are not refundable for a period that has started. Cancelling stops renewal at the end of the paid period.
14. Warranty & liability
- We fix defects in the App reported within 30 days of go-live at no charge, and during any active maintenance period.
- Apart from that, the Apps are provided "as is". We do not guarantee they are error-free or suitable for every purpose, and they do not replace professional accounting, tax or legal advice.
- We are not liable for indirect or consequential losses, such as lost profit, lost business or loss caused by data you entered incorrectly or by your hosting provider.
- Our total liability for any claim is limited to the fees you paid us for the affected App in the 12 months before the claim.
15. Cancellation
- You may cancel a maintenance subscription at any time from your account or by email; it ends at the end of the paid period.
- We may end a subscription with 30 days' notice, refunding any unused prepaid period, or immediately if these terms are seriously breached (for example non-payment, abuse of staff, or license violations).
- You may close your portal account by contacting us. Apps already deployed keep running on your hosting under section 10.
16. Confidentiality
When we host or maintain an App we process the client's data only on the client's instructions, as a data processor, and we sign a data processing agreement on request. We keep your business information, access details and data confidential, use them only to provide our services, and remove our access on request after maintenance ends. We may mention your business name as a client only with your permission.
17. Changes to these terms
We may update these terms. Material changes are announced by email or in your dashboard at least 14 days before they take effect. Changes don't affect a maintenance period you have already paid for.
18. Governing law
These terms are governed by the laws of Bangladesh. We will first try to resolve any dispute in good faith; if that fails, the courts of Dhaka have jurisdiction.
